These Terms of Use are a legally binding agreement between you and VendorConnect, Inc. d/b/a Netbalance regarding your access to and use of the Site.

Unauthorized use of the Site or any Netbalance intellectual property is strictly prohibited.

Limitation of Liability

To the maximum extent permitted by law, VendorConnect, Inc. d/b/a Netbalance will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising from or related to your use of the Site.

VendorConnect, Inc.’s total liability for any claims related to the Site will not exceed $50, regardless of the legal theory.

These limitations apply even if we have been advised of the possibility of damages.

You agree to indemnify, defend, and hold harmless VendorConnect, Inc. d/b/a Netbalance, its affiliates, officers, directors, employees, contractors, agents, and representatives from and against any claims, damages, liabilities, losses, costs, or expenses arising from:

Your violation of applicable law;

We may assume exclusive control of any indemnified matter, and you agree to cooperate with us.

Failure to enforce any provision is not a waiver. If any part of these Terms is deemed unenforceable, the remaining provisions will remain in full force and effect.

The term “including” means “including but not limited to.”

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

You agree that all disputes will be resolved exclusively in the federal or state courts located in Delaware, and you consent to their jurisdiction.
